Organizer Agreement

DRAFT — pending lawyer review (LEG-05). This text is a placeholder so that acceptance can be recorded in the product (KYC-03). It is not yet the binding Organizer / Venue Merchant Agreement. The Arabic version prevails.

This agreement is between [MAKAN LEGAL NAME] ("Makan") and the organization that accepts it ("the Organizer"). It applies to every event and venue booking the Organizer lists and sells on Makan.

    1. What Makan does

Makan provides the platform: event and venue pages, checkout, tickets and QR codes, the scanning tool, refunds and payouts. Makan sells tickets as the Organizer's agent; the Organizer is the provider of every event it lists.

    2. What the Organizer promises

    • Every listing is accurate: date, time, place, prices, capacity, age limits and conditions of entry.
    • The Organizer holds every permit, licence and approval the event needs (venue, governorate, security, performers) and keeps them valid, and will send copies when Makan asks.
    • The event, its content and its promotion comply with Iraqi law and with Makan's prohibited-events policy.
    • The Organizer completes Makan's verification (identity and company documents) and keeps it up to date.

    3. Money

    • Buyers pay Makan. Makan keeps a commission of 15% of ticket sales (ASSUMPTION — per the current price list) and pays the rest to the Organizer.
    • Payouts are made after the event has ended (ASSUMPTION: event end + 3 days, then the next weekly payout) and only to an account in the Organizer's verified legal name.
    • New organizers may have part of their revenue held for a period (ASSUMPTION: 10% for 30 days).

    4. Refunds, cancellations and chargebacks

    • If an event is cancelled, postponed or stopped by any authority, buyers are refunded in full. Refunds are paid from the Organizer's balance; any shortfall is a debt the Organizer owes Makan.
    • The Organizer's refund policy for each event is shown to buyers before they pay and the Organizer honours it.
    • Chargebacks and disputes caused by the Organizer are charged to the Organizer.

    5. Buyer data

Buyer data is held by Makan under its privacy policy. The Organizer uses the data it sees only to run the event and does not sell or share it.

    6. Suspension and termination

Makan may suspend listings, sales or payouts, or close the account, if the Organizer breaches this agreement, the law or Makan's policies, or if Makan suspects fraud. Refund and payment obligations survive termination.

    7. Liability

The Organizer indemnifies Makan against claims, fines and losses arising from its events, including a missing permit.

    8. Law and language

This agreement is governed by the law of the Republic of Iraq. It is made in Arabic and English; the Arabic text prevails. Makan may update it; the Organizer is asked to accept each new version before continuing to use the dashboard.
